Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BrickFolio mobile application and website (together, the "Service"), operated by Brick Grading Authority, LLC ("BrickFolio," "we," "us," or "our"), a California limited liability company. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
BrickFolio is an online marketplace that lets collectors catalog LEGO® sets and parts they own and buy and sell those items with other users. BrickFolio provides the platform, payment facilitation, and shipping tools that enable these transactions.
BrickFolio is not the buyer or seller of items listed on the Service. Sellers are independent users responsible for their own listings, and the contract of sale for any item is between the buyer and the seller. BrickFolio is not a party to that contract, except to provide the marketplace, payment, and shipping services described in these Terms.
2. Eligibility & accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service you represent that you meet this requirement.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it current. Notify us promptly at support@brick-folio.app of any unauthorized use of your account.
3. Buying on BrickFolio
When you place an order, you make a binding offer to purchase the item(s) at the listed price plus applicable shipping and taxes. Your payment is authorized at checkout and held until the order is processed.
- Item descriptions, photos, and condition are provided by sellers. We encourage buyers to review listings carefully before purchasing.
- Prices are set by sellers. Shipping is charged based on a weight-based flat-rate tier, and applicable taxes are calculated at checkout.
- Orders are subject to availability and seller acceptance. If a seller cannot fulfill an order, your payment for that item will be refunded.
4. Selling on BrickFolio
If you list items for sale, you represent that you own the items and have the right to sell them, and that your listings are accurate and not misleading.
- Accurate listings. You must honestly describe each item's contents, condition, and completeness, and use representative photos.
- Identity & payout verification. To receive payouts, you must complete identity and bank-account verification through our payment provider, Stripe, including any "Know Your Customer" (KYC) requirements.
- Shipping obligations. You must ship sold items within the order's shipping window using the prepaid, tracked label provided through the Service.
- Tax information. You are responsible for any taxes on your sales. Where required by law, you must provide tax information (such as a W-9) so we can issue forms like a 1099-K.
5. Payments & fees
Payments are processed by Stripe, and seller payouts are made via Stripe Connect. By using the Service you also agree to Stripe's applicable terms. BrickFolio does not store full payment card numbers.
Buyer funds are held in escrow until the order ships and delivery is confirmed, at which point funds (less applicable fees) are released to the seller. BrickFolio charges a platform fee, deducted from the seller's proceeds at payout. Fees in effect are disclosed in the app and may change with notice.
6. Shipping
The Service generates prepaid, tracked carrier shipping labels. Sellers are responsible for properly packaging items and shipping within the required window. Tracking information is made available to buyers. Risk of loss generally passes to the buyer upon delivery; undelivered or lost shipments are handled through the buyer protection process below.
7. Buyer protection & disputes
If an item does not arrive, arrives damaged, or is materially not as described, a buyer may open a dispute within the timeframe shown in the app. We may, in our reasonable discretion, facilitate a refund from the held funds, require a return, or take other appropriate action. Sellers are expected to cooperate in good faith to resolve disputes.
8. Prohibited items & conduct
You may not list counterfeit, stolen, recalled, or unsafe items, or anything you do not have the legal right to sell. You also agree not to:
- Use the Service for any unlawful, fraudulent, or deceptive purpose;
- Circumvent the Service to complete or solicit off-platform transactions to avoid fees;
- Manipulate prices, reviews, or ratings, or create fake accounts;
- Infringe the intellectual property or other rights of any party;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service.
9. Intellectual property
The Service, including its software, design, and trademarks, is owned by BrickFolio and protected by law. You retain ownership of content you submit (such as listing photos) and grant BrickFolio a non-exclusive, worldwide license to host and display that content to operate and promote the Service.
10. Disclaimers
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that listings are accurate or that the Service will be uninterrupted or error-free. Because items are sold by independent sellers, we do not guarantee the quality, safety, or legality of items listed.
11. Limitation of liability
To the maximum extent permitted by law, BrickFolio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service. To the extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the fees you paid to BrickFolio in the three months before the claim or US $100.
12. Indemnification
You agree to indemnify and hold harmless BrickFolio and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your listings or sales, or your violation of these Terms or applicable law.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us, or for any lawful reason. Provisions that by their nature should survive termination (such as payments owed, disclaimers, limitations of liability, and indemnification) will survive.
14. Governing law
These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules. Subject to the arbitration provisions in Section 15, the state and federal courts located in California will have exclusive jurisdiction over any dispute, and you consent to the personal jurisdiction of those courts.
15. Dispute resolution & arbitration
Agreement to arbitrate
You and Brick Grading Authority, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved by binding arbitration on an individual basis, rather than in court, except as set out below. This agreement to arbitrate is governed by the Federal Arbitration Act.
Class action & jury trial waiver
To the fullest extent permitted by law, you and BrickFolio waive any right to a trial by jury and the right to bring or participate in any class, collective, consolidated, or representative action. The arbitrator may award relief only on an individual basis and may not consolidate the claims of more than one person. If a court decides that this class-action waiver is unenforceable as to a particular claim, that claim (and only that claim) will be severed and may proceed in court.
Arbitration process
The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, by a single arbitrator. The arbitration will take place in California or, at your election, by telephone, video, or written submissions where the rules allow. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Exceptions
Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in court to protect intellectual property or address unauthorized access to the Service. Nothing in this section prevents either party from bringing a Dispute to the attention of a government agency.
Informal resolution & opt-out
Before starting an arbitration, you agree to first contact us at support@brick-folio.app and give us 30 days to resolve the Dispute informally. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@brick-folio.app with your name, account email, and a statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
